"User" or "you" refers to any individual or organisation accessing our website or engaging our services. "We", "us", and "our" refer to Luminos Law, a legal practice registered in Malaysia. "Website" refers to the website hosted at https://luminovon.club. "Agreement" refers to the engagement letter or service agreement entered into between you and Luminos Law for the provision of specific legal services. "Content" refers to all text, images, and materials published on our website.
2. Acceptance of Terms
By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or services. You must be at least 18 years of age to use our website or engage our services. By accepting these terms, you confirm that you have the legal capacity to enter into a binding agreement.
3. Description of Services
Luminos Law provides legal advisory services in the areas of data privacy compliance, intellectual property (trademark registration), and financing agreement reviews. Our services are available to individuals and businesses located in Malaysia. The specific scope, deliverables, timeline, and fees for each engagement are set out in a separate engagement letter provided before work begins.
4. User Responsibilities
When using our website or engaging our services, you agree to provide accurate and complete information, respond to our communications in a timely manner to avoid delays in service delivery, not use our website for any unlawful purpose or in a manner that could damage or impair its operation, not reproduce, copy, or redistribute content from our website without prior written consent, and comply with all applicable Malaysian laws in your use of our services.
5. Intellectual Property
All content on this website, including text, graphics, logos, and design elements, is the property of Luminos Law and is protected under Malaysian intellectual property laws. You are granted a limited, non-transferable right to access and view the content for personal, non-commercial purposes. You may not copy, modify, distribute, or create derivative works from our content without our express written permission.
6. Payment Terms
Fees for our services are quoted in Malaysian Ringgit (MYR) and are set out in the engagement letter provided to you before work begins. Payment is due as specified in the engagement letter. We accept payment by bank transfer and other methods as communicated to you. If additional work is required beyond the agreed scope, we will discuss the additional cost with you before proceeding. We reserve the right to suspend services in the event of overdue payments, following reasonable notice.
7. Service-Specific Terms
For data privacy compliance reviews, the deliverables include a compliance assessment report and a set of prioritised recommendations. The scope of the review is limited to the data handling practices disclosed by you during the engagement. For trademark registration guidance, our service covers one trademark class per engagement. The timeline for registration depends on MyIPO processing times, which are outside our control. For loan and financing agreement reviews, our review covers the specific document(s) you provide. Our annotations and summary letter represent our professional assessment and are for informational purposes to assist your decision-making.
8. Disclaimers
Our services are provided on an "as is" basis. While we exercise professional care and diligence in all engagements, we do not make representations about specific outcomes. Legal results depend on many factors, including the actions of third parties, regulatory bodies, and courts. The information on our website is provided for general informational purposes and does not constitute legal advice. You should not act on any information on this website without first seeking professional counsel tailored to your specific circumstances.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law, Luminos Law's total liability for any claim arising from or related to our services shall not exceed the fees paid by you for the specific engagement giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, business opportunities, or data, even if we have been advised of the possibility of such damages. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.
10. Indemnification
You agree to indemnify and hold harmless Luminos Law, its partners, associates, and staff from any claims, losses, or damages arising from your breach of these terms, your misuse of our services or website, inaccurate or incomplete information provided by you, or any third-party claim arising from your use of our deliverables.
11. Termination
Either party may terminate an engagement by providing written notice to the other party. Upon termination, you are responsible for payment of fees for work completed up to the date of termination. We will provide you with all deliverables completed as of the termination date. Our obligations of confidentiality survive the termination of any engagement.
12. Dispute Resolution
These Terms and Conditions are governed by the laws of Malaysia. Any dispute arising from or in connection with these terms or our services shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached through negotiation, either party may refer the dispute to mediation under the rules of the Asian International Arbitration Centre (AIAC) in Kuala Lumpur. The courts of Malaysia shall have jurisdiction over any matter not resolved through the above procedures.
13. Force Majeure
Luminos Law shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including natural disasters, government actions, power failures, or disruptions to communication systems.
14. General Provisions
These Terms and Conditions, together with any applicable engagement letter, constitute the entire agreement between you and Luminos Law regarding the subject matter herein. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. You may not assign your rights or obligations under these terms without our prior written consent.
15. Changes to These Terms
We may update these Terms and Conditions from time to time. Changes will be reflected by the "Last Updated" date at the top of this page. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised terms. We encourage you to review this page periodically.
